These Terms and Conditions ("Terms") govern access to and use of the WashStacks software platform and related services, including but not limited to WashStacks, TalentStack, OpStack, and ClaimStack (collectively, the "Platform"), operated by WashStacks LLC ("WashStacks," "we," "us," or "our").
By accessing or using the Platform, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Scope of Services
WashStacks provides a business-to-business (B2B) software-as-a-service (SaaS) platform designed for multi-location car wash businesses.
The Platform is provided solely as software. WashStacks does not provide:
- Legal advice
- Payroll processing services
- Human resources consulting
- Compliance or regulatory guarantees
Any references to payroll, timekeeping, wages, claims, or employee data are tools for information management only.
3. License Grant & Use Restrictions
3.1 License
Subject to these Terms and timely payment of fees, WashStacks grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for internal business purposes.
3.2 Restrictions
Customer shall not, directly or indirectly:
- Reverse engineer, decompile, or disassemble the Platform
- Build or assist in building competing products
- Scrape, harvest, or extract data from the Platform
- White-label, sublicense, resell, or commercially exploit the Platform without written permission
- Circumvent security or access controls
4. Subscriptions, Billing & Payments
4.1 Subscription Model
Subscriptions may be billed:
- Monthly or annually
- On a per-location basis
- Based on selected modules
Subscriptions automatically renew unless canceled through the Platform.
4.2 Cancellation
Customers may cancel subscriptions in-app. Cancellation prevents future billing but does not entitle Customer to refunds.
4.3 No Refunds
All fees are non-refundable, including for partial periods, unused features, or termination.
4.4 Promotional Pricing
WashStacks may offer promotional pricing, including trade show discounts. Promotional pricing may:
- Be time-limited
- Automatically revert to standard pricing
5. Data Ownership & Usage
5.1 Customer Data Ownership
Customer retains ownership of all data uploaded or generated through the Platform ("Customer Data").
5.2 License to WashStacks
Customer grants WashStacks a limited license to use Customer Data solely to:
- Provide and operate the Platform
- Improve features and functionality
- Generate aggregated and anonymized analytics
WashStacks will not sell identifiable Customer Data.
6. Third-Party Integrations
The Platform may integrate with third-party services including, but not limited to:
LiveReach.ai, NXT Wash, Paylocity, HelloWash, Gusto, Sonny's, CarAPI, Twilio, and others.
WashStacks:
- Does not control third-party services
- Is not responsible for their availability, accuracy, security, or compliance
- Disclaims all liability arising from third-party failures or errors
Use of third-party services is subject to their respective terms.
7. Payroll, Timekeeping & Compliance Disclaimer
Customer acknowledges that:
- WashStacks does not calculate or guarantee payroll accuracy
- All payroll, wage, timecard, and employment data is customer-provided
- Customer is solely responsible for:
- Wage and hour compliance
- Employment law compliance
- Tax reporting and filings
- Payroll approvals and payments
WashStacks disclaims all liability for:
- Payroll errors caused by user input
- Compliance failures
- Employment law violations
- Regulatory penalties
8. Support & Availability
8.1 Support Channels
Support is provided via:
- Phone
- Slack (chat)
- Support portal
8.2 Support Hours
Monday-Friday, 7:00am-5:00pm (Central Time)
After-hours support may be provided at WashStacks' discretion.
8.3 No SLA
The Platform is provided on a commercially reasonable, best-effort basis. No uptime or availability guarantee is provided.
9. Account Suspension & Termination
WashStacks may immediately suspend or terminate access, with or without notice, for:
- Non-payment
- Misuse of the Platform
- Security risks
- Violation of these Terms
10. Termination & Data Handling
Upon termination:
- Access to the Platform ends immediately
- Customer may request data export during a reasonable grace period
- Customer Data will be deleted within 90 days, unless legally required to retain it
11. Intellectual Property
All Platform software, documentation, trademarks, and content are the exclusive property of WashStacks LLC.
11.1 Feedback
Any suggestions or feedback provided by Customer may be used by WashStacks without restriction or compensation.
12. Confidentiality
Each party agrees to protect the other party's confidential information using reasonable safeguards and not disclose it except as required to perform under these Terms or by law.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
WashStacks disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Accuracy of data
- Compliance outcomes
14. Limitation of Liability
Industry-Standard SaaS Liability Cap
To the maximum extent permitted by law:
WashStacks' total liability shall not exceed the fees paid by Customer to WashStacks in the twelve (12) months preceding the claim.
WashStacks shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business interruption
- Data inaccuracies
- Third-party service failures
- Compliance or payroll outcomes
15. Indemnification
Customer agrees to indemnify and hold harmless WashStacks from claims arising out of:
- Customer Data
- Employment practices
- Payroll decisions
- Regulatory violations
- Use of third-party integrations
16. Governing Law & Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
16.2 Binding Arbitration
Any dispute shall be resolved through binding arbitration, conducted on an individual basis. Class actions are waived.

18. Modifications
WashStacks may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
